LADIES & GENTLEMEN:

Notice is hereby given that a
Special Meeting of the Acadia Parish Police Jury will be held in the Police Jury Meeting Room, Courthouse Building, Crowley, Louisiana, at 12:00 P.M., on Monday, December 29, 2003, to discuss the following items:

AGENDA:

1. Finalize sale of Industrial Park Property.
2. Consider hiring Mosquito Control personnel.
3. Approve the issuance, sale and delivery of $60,000 of Certificates of
    Indebtedness, Series 2004, of Fire Protection District No. 1 of the
    Parish of Acadia, State of Louisiana, and other matters relating
    thereto.

We, the undersigned members of the Acadia Parish Police Jury, do hereby accept such service of the foregoing notice, waiving any and all irregularities in such service and such notice and consent and agree that said Police Jury of Acadia shall meet at the time and place named therein and for the purpose therein stated.

A resolution offered by Mrs. Cecelia Broussard, seconded by Mr. John Beard, was withdrawn due to a question related to easements regarding property to be sold to Dennis Abshire.

                                     
RESOLUTION

     BY: MRS CECELIA BROUSSARD AND MRS CATHERINE LACOMBE

WHEREAS, a request was made by Bonaventure Company to locate industry in the Crowley/Rayne Industrial Park, and

WHEREAS, the Acadia Parish Police Jury recognizes the value of creating new jobs for the benefit of Economic Development, and

WHEREAS, it is the intent of the Acadia Parish Police Jury to provide incentives to promote economic growth in Acadia Parish.

WHEREAS, the Acadia Parish Police Jury gave notice of intent published in its Legal Journal.

THEREFORE, BE IT RESOLVED by the Acadia Parish Police Jury in special session duly convened on this the 29th day of December, 2003, does hereby authorize the sale of approximately 4.771 acres of Industrial Park property for $5,000.00 per acre and .887 additional acre of Industrial Park property located under and in the vicinity of the Cleco Transmission Line for $3,000.00 per acre for a total estimated cost of $26,516.00 to Mr. Nolan LeBlanc of the Bonaventure Co.

BE IT FURTHER RESOLVED that the Bonaventure Co., agrees to provide 25 new jobs as part of the incentive to purchase property at a value less than fair market during the next five years.

BE IT FURTHER RESOLVED that this agreement be subject to Legal Counsel approval and meet all the requirements of the Statutes pertaining to the marketing of such property.

Proposed action on property intended for sale to Dennis Abshire was postponed to resolve questions related to drainage easement.

A motion was offered by Mrs. Cecelia Broussard, seconded by Mr. John Humble, Sr., to advertise for the position of Assistant Director of Mosquito Control. Motion carried.

The following resolution was offered by Mr. Pat Daigle, seconded by Mr. John Humble, Sr.:

                                     
RESOLUTION

          A resolution approving the issuance, sale and delivery of
          Sixty Thousand Dollars ($60,000) of Certificates of
          Indebtedness, Series 2004, of Fire Protection District No.
          1 of the Parish of Acadia, State of Louisiana, and other
          matters relating thereto.

WHEREAS, the Board of Commissioners of Fire Protection District No. 1 of the Parish of Acadia, State of Louisiana, by resolution adopted on December 16, 2003, has authorized the issuance of Sixty Thousand Dollars ($60,000) of Certificates of Indebtedness, Series 2004 (the “Certificates”), for the purpose of acquiring and equipping a fire truck, and paying the costs of issuance of the Certificates, under the authority conferred by Section 742.2 of Title 39 of the Louisiana Revised Statutes of 1950, as amended (the “Act”), and other constitutional and statutory authority.

WHEREAS, it is now the desire of the Police Jury of the Parish of Acadia, State of Louisiana, to approve the issuance of the Certificates;

NOW, THEREFORE, BE IT RESOLVED by the Police Jury of the Parish of Acadia, State of Louisiana (the “Police Jury”), acting as the governing authority of the Parish of Acadia, State of Louisiana, that:

SECTION 1. In compliance with the provisions of Article VI, Section 15 of the Constitution of the State of Louisiana of 1974, and in accordance with the request of the Board of Commissioners of Fire Protection District No. 1 of the Parish of Acadia, State of Louisiana, this Police Jury hereby approves the issuance of Sixty Thousand Dollars ($60,000) of Certificates of Indebtedness, Series 2004, of Fire Protection District No. 1 of the Parish of Acadia, State of Louisiana, said Certificates to be issued under the authority and for the purposes stated in the preamble hereto.

SECTION 2. Neither the Parish nor this Police Jury shall be liable in any manner for the payment of said Certificates.

The foregoing having been submitted to a vote, the vote thereon was as follows:

YEAS: Catherine LaCombe, John Humble, Sr., Cecelia Broussard, Jimmie
          Pellerin, John Beard, Pat Daigle and Claude Courville.

NAYS: None.

ABSENT: Alton Stevenson.

And the resolution was declared adopted on this, the 29th day of December, 2003.
